RDB REAL ESTATE CONSTRUCTIONS LIMITED (CIN: L70200WB2018PLC227169), incorporated on July 27, 2018, under the Companies Act, 2013, has its registered office located at Bikaner Building, 8/1 Lal Bazar Street, 1st Floor, Room No. 11, Kolkata- 700001. It serves as the real estate division of RDB GROUP.

Initially established as a Private Limited Company in the name and style of “Baron Real Estate Private Limited”, the Company was converted into a Public Limited Company, and thereafter, its name was changed to RDB Real Estate Constructions Limited on January 14, 2019, to focus on real estate projects across residential, commercial, and retail sectors.

Earlier, the Company was a Wholly Owned Subsidiary of RDB Infrastructure and Power Limited (Formerly known as RDB Realty & Infrastructure Limited), the Company sought to expand its business by entering into a Scheme of Arrangement for Demerger with its parent company, RDB Infrastructure and Power Limited (Formerly known as RDB Realty & Infrastructure Limited), the flagship company of RDB Group (“Demerged Company”). This Scheme aimed to transfer and vest the Realty Business Undertaking of the Demerged Company with RDB Real Estate Constructions Limited. The Hon’ble National Company Law Tribunal (NCLT), Kolkata Bench, approved the Scheme via Order No. C.P. (CAA)/6/KB/2024, connected with C.A. (CAA)/193(KB) 2023, dated May 21, 2024.

As a result of the Scheme, all assets, liabilities, responsibilities, and ongoing legal proceedings of the Demerged Company related to its Realty Business Undertaking were transferred to RDB Real Estate Constructions Limited, effective October 1, 2022 (the Appointed Date). The Scheme became operational on July 26, 2024 (the Effective Date). Furthermore, all subsidiaries and associates of the Demerged Company are now affiliated with RDB Real Estate Constructions Limited.

Following the approval of the aforementioned Scheme of Arrangement, RDB Real Estate Constructions Limited was successfully listed on BSE Limited on January 30, 2025, and on the Calcutta Stock Exchange Limited on February 11, 2025.
